Perpetua Resources Announces Continued Cooperation with U.S. Antimony
U.S. Antimony Corporation operates an antimony processing facility in Montana with potential capabilities to process certain quantities of antimony concentrate from the Stibnite Gold Project.

(Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or “Perpetua” or the “Company”) today announced its wholly owned subsidiary, Perpetua Resources Idaho, Inc., has agreed to conduct metallurgical testing of antimony concentrate samples from Perpetua’s Stibnite Gold Project (“Project”) with Montana-based United States Antimony Corporation (NYSE: UAMY) (“USAC”).

The Stibnite Gold Project has an antimony reserve of 148 million pounds, making it one of the largest reserves of antimony not under Chinese influence and the only U.S. domestic reserve. The Project is expected to supply about 35 percent of total U.S. antimony demand in the first six years of operations, based on the 2023 USGS antimony commodity summary.

Perpetua Resources and Sunshine Silver Announce Agreement to Advance Domestic Antimony Supply Chain
MOU signed to explore feasibility of utilizing Sunshine Silver’s permitted antimony plant site to process concentrates from both Stibnite Gold and Sunshine Silver.

BOISE, ID – Perpetua Resources Corp. (Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or “Perpetua” or the “Company”) today announced its wholly owned subsidiary Perpetua Resources Idaho, Inc. has entered into a Memorandum of Understanding (“MOU”) to explore antimony processing opportunities with Sunshine Silver Mining & Refining Company (“Sunshine Silver” or “Sunshine”), also based in Idaho.
Testing under the MOU, which is non-binding and non-exclusive, will evaluate the technical potential for processing and refining antimony from the Stibnite Gold Project in Idaho at the Sunshine Mine Complex. The MOU will initiate third-party engineering to evaluate a flowsheet to suit different antimony ore types and follows engagement between the parties’ technical and executive teams.
“Perpetua’s MOU with Sunshine Silver is a step in evaluating a fully integrated American antimony supply chain,” said Jon Cherry, President and CEO of Perpetua Resources. “The Stibnite Gold Project is the only identified domestic reserve of antimony, and with final federal decisions expected in a matter of weeks, Perpetua is ready to work with U.S. companies to help secure domestic production of antimony.”

On December 3, 2024, China, which dominates antimony production, refinement, and processing capabilities globally, announced an enhanced ban on exports of antimony to the United States. This move comes after the Chinese Communist Party announced global export restrictions on antimony in August 2024. Antimony is essential for national defense, clean energy and technology applications. Antimony is a primer in hundreds of munition types, a doping agent in semiconductors and printed circuit boards, and a central component in solar panels and wind turbines. No domestically mined supply of antimony currently exists. The Stibnite Gold Project has a reserve of 148 million pounds of antimony, making it one of the largest reserves of antimony not under Chinese influence and the only U.S. domestic reserve. The Stibnite Gold Project is expected to supply about 35 percent of projected U.S. antimony demand in the first six years of operations, based on the 2023 USGS antimony commodity summary. This Perpetua production, if added to the 5 percent that Sunshine has indicated it expects to be able to produce, could provide up to 40 percent of U.S. antimony demand.
The Stibnite Gold Project received its Final Environmental Impact Statement (“FEIS”) and Draft Record of Decision (“DROD”) in September 2024, is designed to restore a historic mining district abandoned after 100 years of mostly unregulated mining while producing gold and the only reserve of antimony in the United States. Based on the U.S. Forest Service (“USFS”) schedule published in July 2024, the Final Record of Decision (“ROD”) is scheduled for delivery at the end of 2024.

Perpetua Resources Announces Pricing of Offering of Common Shares for Gross Proceeds of $35 million
BOISE, ID – Perpetua Resources Corp. (Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or the “Company”) today announced the pricing of its previously announced public offering of 3,439,465 shares of its common stock (the “Common Shares”) in the United States ( the “Offering”) at a price to the public of US$10.17.
The gross proceeds to Perpetua Resources from the Offering, before deducting commissions and expenses and other Offering expenses, will be approximately $35 million, or approximately $40 million if the Underwriters exercise the Option (as defined below) in full.
The Company expects to use the net proceeds of the Offering for down payments on long lead time materials, detailed engineering for its Stibnite Gold Project, and general corporate purposes.
The Common Shares will be offered by the Company with BMO Capital Markets and National Bank of Canada Financial Markets acting as joint lead book-running managers, RBC Capital Markets and Cantor acting as joint book-running managers and B. Riley Securities, H.C. Wainwright & Co. and Roth Capital Partners acting as co-managers (collectively, the “Underwriters”).
Perpetua Resources has also granted the Underwriters an option (the “Option”) to purchase up to an additional 515,919 Common Shares representing up to 15% of the number of Common Shares to be sold pursuant to the Offering. The Option is exercisable for a period of 30 days from the date of the Underwriting Agreement, dated November 18, 2024, between Perpetua Resources and BMO Capital Markets as representative of the several Underwriters (the “Underwriting Agreement”).
The Offering is expected to close on or about November 20, 2024. Closing of the Offering will be subject to a number of customary conditions included in the Underwriting Agreement.

Permitting and Construction Readiness Activities Update:
On September 6, 2024, the USFS published the FEIS and a DROD with respect to the Project. The publication of the DROD commenced a 45-day pre-decisional objection period, which expired on October 21, 2024. The objection period will be followed by another 45-day resolution period prior to the publication of the final Record of Decision (“ROD”). The resolution period is expected to expire on or about December 5, 2024, which may be extended by the USFS in its sole discretion. Based on the USFS schedule published in October 2024, the ROD is anticipated to be published by the end of 2024. Perpetua also continued to advance work on several ancillary permits which are being progressed in parallel with the NEPA process. Perpetua Resources Announces Key Federal Decision to Authorize the Stibnite Gold Project
BOISE, ID – Perpetua Resources Corp. (Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or “Perpetua” or the “Company”) today announced that the United States Forest Service (“USFS”) has completed the Final Environmental Impact Statement (“FEIS”) and is issuing a Draft Record of Decision (“DROD”) authorizing the Stibnite Gold Project (“Project”). According to a USFS press release, both documents will be published tomorrow, September 6, in the US Federal Register. Based on the USFS schedule published in July 2024, the Final Record of Decision (“ROD”) is anticipated by the end of 2024.
The USFS release confirmed that the “Draft Record of Decision outlines the Forest Services’ decision to authorize the 2021 Modified Mine Plan”. The decision comes after the completion of rigorous interagency permitting review, scientific evaluation, and public input. The Project is designed to provide environmental benefits to an abandoned mine site while producing gold and unlocking the only reserve of antimony within the United States.

Perpetua’s Stibnite Gold Project is positioned to be one of the highest-grade open pit gold projects in the United States with 4.8 million ounces of estimated gold reserves. The Project is expected to produce over 450,000 ounces of gold annually over the first four years with all-in sustaining costs under $450 per gold ounce based on the 2020 Feasibility Study.
As a by-product of gold production, the Project has a reserve of 148 million pounds of antimony. Antimony is essential for national defense, clean energy and technology applications, yet no domestically mined supply currently exists. Beginning on September 15, 2024, China, which is responsible for nearly half of all global mined antimony output and dominates global refinement and processing, has announced that it will restrict antimony exports. The Stibnite Gold Project has one of the largest reserves of antimony not under Chinese influence and the only U.S. domestic reserve.

The Stibnite Gold Project has undergone a rigorous multi-year, science-based review process that balances environmental outcomes, community and national interest and project economics.
Altogether, the Stibnite Gold Project has undergone:
14 years of scientific study, community engagement, and engineering (2010-2024);
8 years in the National Environmental Policy Act (“NEPA”) permitting process (2016-2024); and
150 days of formal public comment in which 28,000 letters were received, with approximately 85% expressing support for the Project.
Following the Draft Record of Decision, there will be a required fixed 45-day objection period and another 45-day resolution period prior to the publication of the final Record of Decision, which is expected at the end of the year based on the USFS’s published schedule.

Permitting and Construction Readiness Activities Update:
On January 1, 2024, the United States Forest Service (“USFS”) released an updated schedule for the Project that stated the USFS expected to publish a FEIS and a Draft Record of Decision in the second quarter of 2024 and a Final Record of Decision (“ROD”) in the fourth quarter of 2024. The USFS has confirmed that cooperating agency review of the FEIS is complete and both documents are completing final consultations and reviews in Washington D.C. As a result, management anticipates the publication of a FEIS and Draft Record of Decision in the third quarter of 2024 and a Final Record of Decision (“ROD”) in the fourth quarter of 2024.
Perpetua continued to advance work on several ancillary permits which are being progressed in parallel with the NEPA process. Recent updates include:
The U.S. Army Corps of Engineers continues to process the Company’s 404 permit application and Compensatory Mitigation Plan after the public comment period ended in October 2023.

(Nasdaq: PPTA / TSX: PPTA) announced that it received a Letter of Interest (“LI”) from the Export-Import Bank of the United States (“EXIM”) for potential debt financing of up to $1.8 billion through EXIM’s “Make More in America” and “China and Transformational Exports Program” (CTEP) initiatives.
Letter of Interest indicates potential financing could provide 15 year repayment tenor under EXIM’s Make More In America initiative and may be eligible for special consideration under the China and Transformational Exports Program.
Potential funding further supports the Stibnite Gold Project as an emerging national strategic asset for antimony production and demonstrates the role the Project can play in driving economic development.
A funding commitment is conditional upon completing the application, due diligence and underwriting process and receiving all required approvals.

EXIM’s communication to Perpetua states: “We are pleased to extend this Letter of Interest in support of the proposed capital funding plan by Perpetua Resources Idaho Inc. for the Stibnite-Gold Project. Based on the preliminary information submitted regarding expected U.S. exports and U.S. jobs supported by this project, EXIM may be able to consider potential financing of up to $1,800,000,000.00 of the project’s costs with a repayment tenor of 15 years under EXIM’s Make More in America initiative.”

Given China’s dominance over global antimony production, the Letter of Interest indicated the transaction may also be eligible for special consideration under Section 402 of EXIM's 2019 reauthorization (P.L. 116-94), which directs EXIM to take steps to mitigate the competitive impact of export support provided by the People's Republic of China and other covered countries for opportunities such as this one under EXIM's CTEP initiative.
Perpetua expects to submit a formal application to EXIM in 2024. Upon receipt of an application for financing, EXIM will conduct the due diligence necessary to determine if a final commitment may be issued. Any final commitment will be dependent on meeting EXIM's underwriting criteria, authorization process, finalization and satisfaction of terms and conditions. All final commitments must comply with EXIM policies as well as program, legal and eligibility requirements, including completion of the ongoing National Environmental Policy Act process which is expected to be completed by the end of the year.
Antimony trisulfide is essential to national defense as a key component for munitions and to clean energy technology applications, yet no domestic mined supply currently exists. China, Russia, and Tajikistan control 90 percent of the global antimony supply chain. Perpetua Resources Announces Sale of Silver Royalty for $8.5 Million in Proceeds
Perpetua Resources Corp. Additionally, Mr. Cherry played a leading role in negotiating a joint venture with Teck Resources before PolyMet’s sale to Glencore. Before Polymet, Mr. Cherry served as a senior leader for the multi-billion dollar Resolution Copper JV Project (owned by Rio Tinto and BHP), General Manager of Rio Tinto’s Eagle Mine (the United States of America’s only primary nickel-copper mine) and Senior Project Engineer at Rio Tinto Kennecott Utah Copper. Andrew Cole was appointed to the Company’s Board of Directors effective immediately. He brings over 35 years of experience in the metals and mining industry including substantial expertise in the processing of refractory ore having been General Manager at Barrick Gold’s Goldstrike Mine. Mr. Cole currently leads a consulting practice and most recently supported an emerging gold producer through the successful development of its processing strategy and the restart of its autoclave facility in Nevada. Mr. Cole previously served as General Manager of the Donlin Gold Project in Alaska, where he secured the Project’s major permits, including its Final Record of Decision. Prior to that, he served as Executive Director of Barrick Gold’s United States Operations. Mr. Cole holds a Bachelor of Science Degree in Material Sciences and Engineering from the University of Arizona and received his MBA from the University of Nevada. On January 1, 2024, the U.S. Forest Service (“USFS”) released an updated schedule for the Project. Based on the updated schedule, the Company anticipates that the USFS will publish a Final Environmental Impact Statement (“FEIS”) and a Draft Record of Decision (“DROD”) in the second quarter of 2024 and a Final Record of Decision (“ROD”) in the fourth quarter of 2024. The USFS has confirmed that cooperating agency review of the FEIS is nearing completion and is focused on progressing both documents towards final consultations and reviews in Washington D.C.

Permitting and Construction Readiness Activities Update:
Following completion of the public comment period and analysis on the Supplemental Draft Environmental Impact Statement (“SDEIS”), the United States Forest Service updated the permitting schedule for the Project with a Final Environmental Impact Statement (“FEIS”) and draft Record of Decision (“ROD”) expected by the end of 2023 and a final ROD anticipated in early 2024.
Perpetua continued to advance work on several ancillary permits which are being progressed in parallel with the NEPA process. Recent updates include:
Submitted the 404 Wetlands & Compensatory Mitigation Plan application to the U.S. Army Corps of Engineers (“USACE”) in April 2023 and USACE provided a 404 permit application completeness determination in July 2023.
Submitted the formal request to begin the 401 Water Quality Certification process to Idaho Department of Environmental Quality (“IDEQ”) in May 2023.
Submitted Tailings Storage Facility (“TSF”) dam safety application to Idaho Department of Water Resources (“IDWR”) in July 2023. IDWR sent a letter of conditional approval for the Company’s Stage 1 TSF in October 2023.
Submitted cyanidation permit application in August 2023 to IDEQ. The Company expects to resubmit an updated permit application in the fourth quarter of 2023 following a letter of incompleteness issued by IDEQ in September 2023.
A Final Point of Compliance determination was issued in August 2023 and the Company submitted the required groundwater sampling and well installation plans in October 2023.
Perpetua is advancing construction readiness activities which are reimbursable under the DPA funding. Managed by the U.S. Army Joint Center of Excellence for Guns and Ammunition at the Picatinny Arsenal in New Jersey, the objective of the OTIA is to demonstrate a fully domestic antimony trisulfide supply chain using ore from the Stibnite Gold Project (“Project”) site for use in munitions. To meet this objective, the Company plans to obtain additional core samples from the Project site, conduct a pilot plant study to produce mil-spec antimony trisulfide from the samples, design a full-scale process circuit, and deliver a modular pilot plant for the DoD to use in further investigations.
Under the OTIA, Perpetua will be reimbursed for these activities on a cost-plus fixed fee basis over the 24-month period of performance. The current estimated amount is $15.5 million, which is subject to adjustment by the DOTC based on scope, costs, budget, or other factors as the program advances. Perpetua will be entitled to reimbursement for all costs incurred under the agreement.

Antimony trisulfide is essential to national defense as a key component for munitions. Currently, China, Russia, and Tajikistan control approximately 90% of the world’s antimony supply and the United States has no domestically mined source of the critical mineral. Perpetua plans to re-establish a domestic supply of the critical mineral antimony as a by-product of one of the highest-grade open pit gold resources in the United States.
DOTC was established to foster innovation in defense technology through collaboration between industry, academia, and government to advance and expand our military technological superiority. The DOTC funding allows the Company to demonstrate the suitability of the Project’s antimony trisulfide concentrate for use in munitions while the Company continues through the ongoing permitting process, led by the United States Forest Service (“USFS”). Permitting and Construction Readiness Activities Update:
Following completion of the public comment period and analysis on the Supplemental Draft Environmental Impact Statement (“SDEIS”), the United States Forest Service updated the permitting schedule for the Project with a Final Environmental Impact Statement (“FEIS”) and draft Record of Decision (“ROD”) expected by the end of 2023 and a final ROD anticipated in early 2024.
Perpetua advanced work on several ancillary permits which are being progressed in parallel with the NEPA process. Recent updates include:
Submitted the 404 Wetlands & Compensatory Mitigation Plan application to the U.S. Army Corps of Engineers (“USACE”) in April 2023 and USACE provided a 404 permit application completeness determination in July 2023.
Submitted the formal request to begin the 401 Water Quality Certification process to Idaho Department of Environmental Quality (“IDEQ”) in May 2023.
Submitted tailings storage facility dam safety application to Idaho Department of Water Resources (“IDWR”) in July 2023.
Perpetua is advancing construction readiness activities which are reimbursable under the DPA funding. The Project is one of the highest-grade, open pit gold deposits in the United States and is designed to apply a modern, responsible mining approach to restore an abandoned mine site and produce both gold and the only mined source of antimony in the United States. Further advancing Perpetua Resources’ ESG and sustainable mining goals, the Project will be powered by the lowest carbon emissions grid in the nation and a portion of the antimony produced from the Project will be supplied to Ambri, a US-based company commercializing a low-cost liquid metal battery essential for the low-carbon energy transition.
